China’s State Council enacted its first comprehensive legal framework regulating outbound investments on Wednesday, implementing stringent national security reviews for overseas capital and technology deployments. The far-reaching “Regulation on Outbound Investment” targets Chinese entities and individuals venturing abroad, aiming to safeguard national sovereignty amid rising global geopolitical competition.

Under the centralized cross-agency review mechanism led by the National Development and Reform Commission and the Ministry of Commerce, any foreign investment that “affects or may affect national security” will face intense regulatory scrutiny. The framework strictly prohibits outbound capital from funding foreign weapons development, news media, or gambling. It further restricts investments in sensitive sectors including real estate, entertainment, gene editing, and rare-earth mining, while imposing tighter compliance controls over cross-border data and technical personnel movement.

The new rules also introduce an investment barrier investigation mechanism, allowing Beijing to deploy countermeasures against foreign nations that enact discriminatory trade hurdles against Chinese firms. While Western analysts view the legislation as an attempt to construct an “economic fortress” to restrict capital flight, Chinese officials maintain the regulation standardizes high-standard opening-up and protects corporate interests under the rule of law.
